1. DEFINITIONS

“Software” means the source code, object code, documentation, configuration files, and any related materials developed by the Licensor.

“Client” means the individual or entity receiving the Software under this license.

“Deployment” means installation and operation of the Software on Client’s designated infrastructure for the agreed project purpose.

“Modification” means any alteration, enhancement, or derivative work based on the Software.

2. GRANT OF LICENSE

2.1 Basic Deployment License (Included with Development)

The Licensor grants Client a limited, non-exclusive, non-transferable, non-sublicensable license to:

Deploy the Software for the specific project it was developed for
Operate the Software on Client’s servers or approved hosting platforms
Access the Software’s functionality as designed
Perform standard administrative tasks (backups, basic configuration)

2.2 Territorial Scope

This license is valid worldwide unless explicitly restricted in the project agreement.

3. OWNERSHIP AND RESTRICTIONS

3.1 Retained Ownership

The Licensor retains all rights, title, and interest in the Software, including all intellectual property rights, copyrights, patents, trade secrets, and proprietary information.

3.2 Prohibited Activities

Client is strictly prohibited from:

Code Access: Viewing, accessing, or reverse engineering the source code
Modification: Altering, customizing, or creating derivative works
Distribution: Copying, sharing, or redistributing the Software
Reuse: Using the Software or its components in other projects
Commercial Exploitation: Reselling, sublicensing, or competing using the Software
Decompilation: Using tools to extract or analyze the underlying code
Third-Party Access: Allowing unauthorized persons to access the Software

4. COMMERCIAL LICENSING OPTIONS

4.1 Available Licenses

For expanded usage rights beyond basic deployment:

a) Source Code Access License - ₹10,000

Right to view and examine source code
Read-only access for learning or audit purposes
No modification or redistribution rights

b) Internal Modification License - ₹15,000

Right to modify code for Client’s internal use only
Includes source code access
No redistribution or commercial use of modifications
Modified versions remain subject to original license terms

c) Full Commercial License - ₹25,000

Complete ownership transfer of the specific Software instance
Full rights to modify, distribute, and commercialize
Includes all source code and documentation
Licensor retains no rights over this instance

d) Multi-Project License - ₹20,000

Right to use the Software across multiple Client projects
Deployment rights for up to 5 projects (additional projects require separate agreement)
No modification or redistribution rights unless separately licensed

4.2 License Activation

Commercial licenses become effective upon full payment
Written confirmation will be provided within 48 hours of payment
All fees are non-refundable once license is activated

5. SUPPORT AND MAINTENANCE

5.1 Included Support

Initial deployment assistance (up to 4 hours)
Bug fixes for critical issues (first 30 days)
Basic usage documentation

5.2 Additional Services (Separate Rates)

Extended support: ₹2,000/month
Feature additions: ₹5,000-₹15,000 (scope dependent)
Migration assistance: ₹3,000-₹8,000
Training sessions: ₹2,000/hour

6. PAYMENT TERMS

6.1 Development Fee

Basic deployment license included in project development cost
Payment due as per project agreement terms

6.2 Commercial Licensing

Full payment required before license activation
Payment methods: Bank transfer, UPI, or as agreed
Late payment interest: 2% per month on overdue amounts

7. COMPLIANCE AND MONITORING

7.1 Audit Rights

The Licensor reserves the right to:

Request compliance verification annually
Audit Client’s use of the Software with 30 days written notice
Monitor for unauthorized usage through technical means

7.2 Reporting Violations

Client must immediately report any suspected unauthorized access or use of the Software to the Licensor.

8. TERMINATION

8.1 Automatic Termination

This license terminates immediately upon:

Any violation of license terms
Non-payment of fees beyond 15 days of due date
Attempted unauthorized access to source code
Bankruptcy or insolvency of Client

8.2 Termination Consequences

Upon termination, Client must:

Immediately cease all use of the Software
Delete all copies from all systems within 7 days
Provide written confirmation of compliance
Return or destroy any physical materials

8.3 Survival

Sections relating to ownership, confidentiality, liability limitation, and dispute resolution survive termination.

9. WARRANTIES AND DISCLAIMERS

9.1 Limited Warranty

The Software is provided with a 30-day limited warranty against critical bugs that prevent basic functionality.

9.2 Disclaimer

EXCEPT AS EXPRESSLY STATED ABOVE, THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. The Licensor disclaims all other warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. LIMITATION OF LIABILITY

10.1 Liability Cap

Total liability is limited to the amount paid by Client for the Software.

10.2 Excluded Damages

The Licensor is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption.

11. INDEMNIFICATION

Client agrees to indemnify and hold harmless the Licensor from any claims, damages, or legal costs arising from Client’s misuse of the Software or violation of this license.

12. DISPUTE RESOLUTION

12.1 Governing Law

This license is governed by Indian law, specifically the laws of Kerala State.

12.2 Dispute Process

Direct negotiation (30 days)
Mediation (if mutually agreed)
Arbitration under Arbitration and Conciliation Act, 2015
Jurisdiction: Courts in Kochi, Kerala for any legal proceedings

13. GENERAL PROVISIONS

13.1 Entire Agreement

This license constitutes the complete agreement regarding the Software and supersedes all prior negotiations, representations, or agreements.

13.2 Amendments

Modifications must be in writing and signed by both parties.

13.3 Severability

If any provision is unenforceable, the remainder of the license remains valid.

13.4 Assignment

Client may not assign this license without written consent. Licensor may assign freely.

Full understanding of this license
Agreement to be legally bound by all terms
Acceptance of liability limitations and dispute resolution procedures
